1. כללי

1.1 ברוכים הבאים אל SHULAM! (להלן: "השירות"). השירות מופעל על ידי ניר דוכס (להלן: "SHULAM", "אנחנו" או "בעל השירות").

1.2 תנאי שימוש אלה (להלן: "התנאים") מהווים הסכם משפטי מחייב בין המשתמש לבין SHULAM!. השימוש בשירות מהווה הסכמה לתנאים אלה ולמדיניות הפרטיות, המפורסמת בכתובת /privacy.html.

1.3 אם אינך מסכים לתנאים אלה, אנא הימנע מהשימוש בשירות.

1.4 SHULAM! שומרת לעצמה את הזכות לעדכן תנאים אלה מעת לעת. המשך השימוש בשירות לאחר עדכון מהווה הסכמה לתנאים המעודכנים. המשתמש מתבקש לבדוק את התנאים מעת לעת.

1.5 האמור בתנאים אלה מתייחס באופן שווה לכל המינים. כל שימוש בלשון זכר נעשה מטעמי נוחות בלבד.

2. השירות

2.1 SHULAM! היא אפליקציה ישראלית חינמית לניהול הוצאות משותפות, המאפשרת לקבוצות שותפים לדירה (להלן: "משק בית") לעקוב אחר חשבונות משותפים, לחלקם בין החברים, לסרוק קבלות, לנהל מקרר משותף, ולעקוב אחר מטלות בית.

2.2 חשוב: SHULAM! היא ספר חשבונות בלבד. השירות אינו מעביר כספים, אינו מחזיק בכספי המשתמשים, ואינו ערב לסילוק חובות. הסכומים המוצגים בשירות הם רישום בלבד של מה שהמשתמשים הזינו. הסילוק בפועל מתבצע בין השותפים ישירות (לדוגמה דרך ביט, פייבוקס או כל אמצעי אחר), ללא מעורבות של SHULAM!.

2.3 השירות אינו מהווה ייעוץ פיננסי, ייעוץ מס, או ייעוץ משפטי. החלטות פיננסיות הן באחריות המשתמש בלבד.

3. תנאי כשירות

3.1 השירות מיועד למשתמשים בגירים בלבד, מגיל 18 ומעלה. בעצם השימוש בשירות, המשתמש מצהיר כי הוא בן 18 לפחות וכשיר משפטית להתקשר בהסכם זה.

3.2 שימוש בשירות אסור על קטינים. אם נודע לנו על שימוש על ידי קטין, החשבון ימחק לאלתר.

4. חשבון משתמש

4.1 חלק מהתכונות בשירות דורשות יצירת חשבון משתמש. בעת יצירת החשבון, על המשתמש למסור מידע מדויק ועדכני, וליצור סיסמה בעלת רמת אבטחה סבירה.

4.2 המשתמש אחראי לשמירה על סודיות פרטי הכניסה שלו ועל כל פעילות המתבצעת בחשבונו. במקרה של שימוש לרעה או חשד לפריצה, על המשתמש לדווח מיידית אל [email protected].

4.3 חשבון אישי אחד למשתמש אחד. אסור להעביר, להשכיר או למכור גישה לחשבון.

4.4 SHULAM! רשאית להשעות או למחוק חשבון משתמש שהפר את התנאים, ללא הודעה מוקדמת, ובכפוף לזכות המשתמש לקבל את הנתונים שלו לפני המחיקה.

5. שימוש מותר ואסור

5.1 שימוש מותר

השירות מיועד לשימוש אישי וביתי לניהול הוצאות בין שותפים לדירה או חברי משק בית. כל שימוש אחר אסור, אלא אם ניתנה הסכמה מפורשת בכתב מ-SHULAM!.

5.2 שימוש אסור

המשתמש מתחייב לא:

• להשתמש בשירות למטרות לא חוקיות, לרבות הלבנת הון, מימון טרור, או הונאה.
• להתחזות לאדם אחר או למסור פרטי קשר של צד שלישי ללא הסכמתו.
• להעלות לשירות תמונות קבלות או מסמכים המכילים מידע אישי של אדם שלא הסכים לכך.
• להעלות תוכן פוגעני, מאיים, מטעה, או מפר זכויות יוצרים.
• לבצע פעולות שעלולות להזיק לתפעול השירות: ניסיונות חדירה, התקפות מניעת שירות (DDoS), הזרקת קוד, או כל ניסיון לעקוף את אמצעי האבטחה.
• להשתמש בכלים אוטומטיים (bots, scrapers) לאיסוף מידע מהשירות, אלא אם ניתנה הסכמה מפורשת מ-SHULAM!.
• להעתיק, להעביר, או למכור גישה לשירות לצדדים שלישיים.
• להשתמש בשירות לצורך פעילות מסחרית או עסקית בלי הסכמה מראש ובכתב.

הפרת איסורים אלה עלולה להוביל למחיקת החשבון לאלתר, ובמקרים חמורים, להפניה לרשויות אכיפת החוק.

6. תוכן המשתמש

6.1 המשתמש מעלה לשירות תוכן (להלן: "תוכן משתמש"), הכולל הוצאות, קבלות, רשימות, פריטי מקרר ומטלות. תוכן זה נשאר בבעלות המשתמש.

6.2 המשתמש מעניק ל-SHULAM! רישיון מוגבל, לא בלעדי, לעבד את תוכן המשתמש לצורך אספקת השירות בלבד (לדוגמה: עיבוד אוטומטי של קבלות לזיהוי פריטים). רישיון זה מסתיים עם מחיקת התוכן או החשבון.

6.3 SHULAM! אינה משתמשת בתוכן המשתמש לצרכי שיווק, אינה מוכרת אותו, ואינה משתמשת בו לאימון מודלים של בינה מלאכותית.

6.4 המשתמש אחראי בלעדית לדיוק התוכן שהוא מעלה. SHULAM! לא תישא באחריות לטעויות בחישוב חובות בין שותפים שמקורן בנתונים שגויים שהוזנו על ידי המשתמשים.

7. תשלום ושירותים בתשלום

7.1 נכון לתאריך מסמך זה, SHULAM! ניתנת לשימוש חינמי, ללא עלות.

7.2 בעתיד SHULAM! עשויה להציע תכונות פרימיום בתשלום (לדוגמה: SHULAM+). כל שירות בתשלום יוצג למשתמש עם תנאים ברורים, לרבות מחיר ותקופת שיוך, לפני החיוב.

7.3 המשתמש לא יחויב באופן אוטומטי בגין שירותים שלא אישר במפורש.

8. קניין רוחני

8.1 כל הזכויות בשירות, לרבות העיצוב, הקוד, הלוגו, השם "SHULAM!", הסימן המסחרי, התכנים, הטקסטים והגרפיקה (להלן: "החומרים"), שייכות ל-SHULAM! ולבעל השירות.

8.2 המשתמש מקבל רישיון אישי, מוגבל, לא בלעדי, לא ניתן להעברה, להשתמש בשירות לצרכים אישיים בלבד, בהתאם לתנאים אלה.

8.3 אסור להעתיק, לשכפל, להפיץ, לשנות, להציג בפומבי, ליצור יצירות נגזרות, או לעשות שימוש מסחרי בחומרים, ללא הסכמה מראש ובכתב מ-SHULAM!.

9. הגבלת אחריות

9.1 השירות ניתן "כפי שהוא" (AS IS) ועל בסיס "כפי שזמין" (AS AVAILABLE), ללא כל אחריות מפורשת או משתמעת.

9.2 SHULAM! אינה אחראית ל:

• שגיאות, אי דיוקים או חוסרים בחישוב חובות בין שותפים, הנובעים מנתונים שגויים שהוזנו על ידי משתמשים.
• אי-תשלום בפועל של חוב בין שותפים, או סכסוכים אישיים בין חברי משק הבית.
• הפסקות שירות, תקלות טכניות, או אובדן נתונים, מסיבות שאינן בשליטת SHULAM! (לרבות תקלות אצל ספקי שירות צד שלישי).
• שגיאות בזיהוי אוטומטי של קבלות (OCR). תוצאות הזיהוי הן אומדן בלבד וטעונות בדיקה על ידי המשתמש.
• נזק עקיף, תוצאתי, מיוחד או נסיבתי הנובע מהשימוש בשירות.

9.3 גובה האחריות הכוללת של SHULAM! כלפי המשתמש, מכל סיבה שהיא, מוגבל לסכום של 100 ש"ח או לסכום ששילם המשתמש ל-SHULAM! ב-12 החודשים שקדמו לאירוע, הגבוה מבין השניים.

9.4 שום דבר בסעיף זה לא ייפרש כשולל אחריות שלא ניתן לשלול על פי דין מחייב (לרבות אחריות לנזק גוף).

10. שיפוי

המשתמש מתחייב לשפות ולפצות את SHULAM! ובעל השירות בגין כל תביעה, הוצאה או נזק (לרבות שכר טרחת עורך דין סביר) הנובעים מ:

• הפרה של תנאים אלה על ידי המשתמש;
• שימוש לא חוקי או לרעה בשירות על ידי המשתמש;
• תוכן שהמשתמש העלה לשירות והפר את זכויות הצדדים השלישיים.

11. סיום השימוש

11.1 המשתמש רשאי להפסיק את השימוש בשירות בכל עת על ידי מחיקת חשבונו דרך הגדרות האפליקציה או פנייה אל [email protected].

11.2 SHULAM! רשאית להפסיק או להגביל את השירות, או לסיים את חשבון משתמש בודד, במקרים הבאים:

• הפרה מהותית של תנאים אלה.
• שימוש לרעה בשירות.
• החלטה עסקית של SHULAM! לסגור או להפסיק את השירות, ובלבד שתינתן הודעה מוקדמת סבירה (לפחות 30 יום).

11.3 בעת סיום החשבון, המשתמש רשאי לבקש את ייצוא הנתונים שלו תוך 30 יום מהסיום.

12. שינויים בתנאים

SHULAM! רשאית לעדכן תנאים אלה מעת לעת. שינויים מהותיים יודעו למשתמשים באמצעות הודעה באפליקציה או בדוא"ל לפחות 14 יום לפני כניסתם לתוקף. שינויים שאינם מהותיים (תיקוני ניסוח, הבהרות) ייכנסו לתוקף עם פרסומם. המשך השימוש בשירות לאחר כניסת השינוי לתוקף מהווה הסכמה לתנאים המעודכנים.

13. דין החל וסמכות שיפוט

13.1 תנאים אלה כפופים לדיני מדינת ישראל בלבד, ללא קשר לכללי ברירת הדין שלה.

13.2 סמכות השיפוט הבלעדית בכל סכסוך הנובע מתנאים אלה או מהשימוש בשירות נתונה לבתי המשפט המוסמכים במחוז תל אביב, ישראל.

14. שונות

14.1 אם הוראה כלשהי בתנאים אלה תיקבע כלא חוקית או לא ניתנת לאכיפה, היתר ההוראות יישארו בתוקף.

14.2 תנאים אלה, יחד עם מדיניות הפרטיות, מהווים את ההסכם המלא בין המשתמש לבין SHULAM! בנוגע לשירות, ומבטלים כל הסכמה קודמת.

14.3 אי-מימוש זכות מצד SHULAM! לא ייחשב כוויתור עליה.

14.4 SHULAM! רשאית להעביר את זכויותיה וחובותיה לפי תנאים אלה לצד שלישי, בכפוף לשמירה על זכויות המשתמש לפי דין.

1. General

1.1 Welcome to SHULAM! (hereafter: "the Service"). The Service is operated by Nir Dukas (hereafter: "SHULAM", "we", or "the Service Owner").

1.2 These Terms of Use (hereafter: the "Terms") constitute a binding legal agreement between the User and SHULAM!. Use of the Service constitutes acceptance of these Terms and the Privacy Policy, published at /privacy.html.

1.3 If you do not agree to these Terms, please refrain from using the Service.

1.4 SHULAM! reserves the right to update these Terms from time to time. Continued use of the Service after an update constitutes acceptance of the updated Terms. Users are asked to review the Terms periodically.

1.5 References in these Terms to one gender apply equally to all genders. Singular grammatical forms are used for readability only.

2. The Service

2.1 SHULAM! is a free Israeli application for managing shared expenses, enabling groups of roommates (hereafter: "Household") to track shared bills, split them among members, scan receipts, manage a shared fridge, and track household chores.

2.2 Important: SHULAM! is a ledger only. The Service does not transfer money, does not hold user funds, and does not guarantee debt settlement. Amounts shown in the Service are records only of what users have entered. Actual settlement occurs directly between roommates (e.g., via Bit, Paybox, or any other means), without SHULAM's involvement.

2.3 The Service does not constitute financial, tax, or legal advice. Financial decisions are the user's sole responsibility.

3. Eligibility

3.1 The Service is intended for adult users only, aged 18 and over. By using the Service, the User declares they are at least 18 years old and legally capable of entering this agreement.

3.2 Use of the Service by minors is prohibited. If we learn of use by a minor, the account will be deleted immediately.

4. User Account

4.1 Some features of the Service require creating a user account. When creating an account, the user must provide accurate and current information, and create a password with reasonable security level.

4.2 The user is responsible for maintaining the confidentiality of their login credentials and for all activity occurring on their account. In case of misuse or suspected breach, the user must immediately report to [email protected].

4.3 One personal account per user. Transferring, renting, or selling access to the account is prohibited.

4.4 SHULAM! may suspend or delete a user account that violated the Terms, without prior notice, subject to the user's right to receive their data before deletion.

5. Permitted and Prohibited Use

5.1 Permitted use

The Service is intended for personal and household use for managing expenses among roommates or household members. Any other use is prohibited unless explicit written consent is given by SHULAM!.

5.2 Prohibited use

The User undertakes not to:

• Use the Service for unlawful purposes, including money laundering, terrorism financing, or fraud.
• Impersonate another person or provide contact details of a third party without their consent.
• Upload receipt images or documents containing personal information of any person who has not consented.
• Upload offensive, threatening, misleading, or copyright-infringing content.
• Perform actions that may harm the operation of the Service: intrusion attempts, denial-of-service attacks (DDoS), code injection, or any attempt to circumvent security measures.
• Use automated tools (bots, scrapers) to collect information from the Service, unless explicit consent is given by SHULAM!.
• Copy, transfer, or sell access to the Service to third parties.
• Use the Service for commercial or business activity without prior written consent.

Violation of these prohibitions may result in immediate account deletion, and in serious cases, referral to law enforcement.

6. User Content

6.1 The User uploads content to the Service (hereafter: "User Content"), including expenses, receipts, lists, fridge items, and chores. This content remains the property of the User.

6.2 The User grants SHULAM! a limited, non-exclusive license to process User Content solely for the purpose of providing the Service (for example: automated receipt recognition). This license terminates upon deletion of the content or account.

6.3 SHULAM! does not use User Content for marketing, does not sell it, and does not use it to train AI models.

6.4 The User is solely responsible for the accuracy of content they upload. SHULAM! will not be liable for errors in debt calculations between roommates that result from incorrect data entered by users.

7. Payment and Paid Services

7.1 As of the date of this document, SHULAM! is available for free use, at no cost.

7.2 In the future, SHULAM! may offer paid premium features (e.g., SHULAM+). Any paid service will be presented to the user with clear terms, including price and subscription period, before billing.

7.3 The User will not be charged automatically for services they have not explicitly approved.

8. Intellectual Property

8.1 All rights in the Service, including design, code, logo, the name "SHULAM!", the trademark, content, texts, and graphics (hereafter: the "Materials"), belong to SHULAM! and the Service Owner.

8.2 The User receives a personal, limited, non-exclusive, non-transferable license to use the Service for personal purposes only, in accordance with these Terms.

8.3 Copying, reproducing, distributing, modifying, publicly displaying, creating derivative works of, or commercially using the Materials, without prior written consent from SHULAM!, is prohibited.

9. Limitation of Liability

9.1 The Service is provided "AS IS" and on an "AS AVAILABLE" basis, without any express or implied warranty.

9.2 SHULAM! is not responsible for:

• Errors, inaccuracies, or omissions in debt calculations between roommates resulting from incorrect data entered by users.
• Failure to actually pay a debt between roommates, or personal disputes between household members.
• Service interruptions, technical failures, or data loss, for reasons beyond SHULAM's control (including failures at third-party service providers).
• Errors in automatic receipt recognition (OCR). Recognition results are estimates only and must be verified by the user.
• Indirect, consequential, special, or incidental damage resulting from use of the Service.

9.3 SHULAM's total liability to the user, for any reason, is limited to NIS 100 or the amount paid by the user to SHULAM! in the 12 months preceding the event, whichever is greater.

9.4 Nothing in this section will be interpreted as excluding liability that cannot be excluded under mandatory law (including liability for bodily harm).

10. Indemnification

The User undertakes to indemnify and hold harmless SHULAM! and the Service Owner from any claim, expense, or damage (including reasonable attorney's fees) arising from:

• Breach of these Terms by the User;
• Unlawful use or misuse of the Service by the User;
• Content uploaded by the User to the Service that violates third-party rights.

11. Termination

11.1 The User may stop using the Service at any time by deleting their account through the application settings or contacting [email protected].

11.2 SHULAM! may suspend or restrict the Service, or terminate a specific user account, in the following cases:

• Material breach of these Terms.
• Misuse of the Service.
• Business decision by SHULAM! to close or discontinue the Service, provided reasonable advance notice (at least 30 days).

11.3 Upon account termination, the User may request to export their data within 30 days of termination.

12. Changes to the Terms

SHULAM! may update these Terms from time to time. Material changes will be communicated to users via in-app notification or email at least 14 days before they take effect. Non-material changes (wording corrections, clarifications) take effect upon publication. Continued use of the Service after the change takes effect constitutes acceptance of the updated Terms.

13. Governing Law and Jurisdiction

13.1 These Terms are governed by the laws of the State of Israel only, without regard to its conflict-of-laws rules.

13.2 Exclusive jurisdiction over any dispute arising from these Terms or use of the Service is granted to the competent courts in the Tel Aviv District, Israel.

14. Miscellaneous

14.1 If any provision in these Terms is determined to be unlawful or unenforceable, the remaining provisions will remain in effect.

14.2 These Terms, together with the Privacy Policy, constitute the full agreement between the User and SHULAM! regarding the Service, and supersede any prior agreement.

14.3 Non-exercise of a right by SHULAM! will not be considered a waiver of it.

14.4 SHULAM! may transfer its rights and obligations under these Terms to a third party, subject to preserving the user's rights under law.
